Benson N. Ngugi

Benson Ngugi, the esteemed Managing Partner at Igeria & Ngugi Advocates, brings over two decades of legal expertise to the firm. With 20 years of practice, including 19 years with the firm, Benson has been pivotal in steering Igeria & Ngugi to new heights. His areas of specialization include corporate commercial law, commercial litigation and arbitration, conveyancing, real estate, banking and finance, and mergers and acquisitions.

His legal acumen and leadership skills have earned him numerous accolades, most notably being named Managing Partner of the Year 2023 by the Nairobi Legal Awards.

Benson holds a Bachelor of Laws from the University of Nairobi and a Postgraduate Diploma in Law from the High Court of Kenya. He is a Fellow of the Chartered Institute of Arbitrators, a certified Executive Leadership Coach by the International Coaching Federation, and holds a Global Executive MBA from USIU-Africa/Frankfurt School of Business and Finance. His professional memberships are extensive, including the Commonwealth Law Association, the Law Society of Kenya, the East Africa Law Society, and the Institute of Directors, among others.

His extensive experience includes handling high-value transactions such as advising and reviewing the first demand guarantee for a multinational tech company seeking an 18,000,000 Euros facility from the European Investment Bank. He played a crucial role in ensuring all conditions precedent were met, showcasing his expertise in managing complex financial transactions.

Notable Assignments

  • Retained by the trustee to advise on the structure of the Mezzanine debt to be undertaken by a Collective Investment Scheme (CIS). We carried out the structuring in conjunction with KN Law LLP and Due Diligence on each of the Project that the CIS was investing and reviewed the security documents and carried out the registration of the same.
  • Retained by the Regulator to provide guidance on the surrender of Spectrum by a holder of a license and to provide advice on the nature of assignment and transfer of surrendered spectrum. The Firm also provided input on gaps in the current legislation & international best practice in the final opinion provided.
  • Retained by a top Bank in Kenya to advice on risk management for a mobile phone loan product for the purposes of ensuring compliance with both the Banking Act and the Insurance Act and the accompanying Regulation, Guidelines and Policies.
  • Assisted a multinational Mattress Manufacturing company in the acquisition of a 33% stake in a Kenyan subsidiary in a bid to consolidate control of the entity. We also advised on the restructure of its Employees during the pandemic.
  • Advisory and review of the first demand guarantee for a Multinational Tech company that was seeking 18,000,000 Euros facility from the European Investment Bank Assisted in the ensuring all the Conditions precedent were met.
